1. Agreement to Terms
These Terms of Use (“Terms,” “Agreement”) constitute a legally binding agreement between you and Black & Latino Male Achievement (“BLMA,” “we,” “us,” or “our”), a nonprofit 501(c)(3) organization located at 3021 Grand Fields Lane, Memphis, TN 38119.
By accessing or using the website located at blmaleaders.org (the “Website”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
BLMA reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Website.

2. Description of the Website and Organization
The Website provides information about BLMA’s mission, programs, and services, including:
·   Information about mentorship programs and 10 Guiding Principles
·   Online application forms for prospective Host Site Partners
·   Contact forms for inquiries, volunteering, and speaking requests
·   Information about charitable donations
·   Educational content about BLMA’s Blueprint for Success
 BLMA is a nonprofit, tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code, operated in support of our charitable mission.

3. Eligibility and Intended Audience
The Website is intended for use by adults aged 18 years and older, specifically:
·   School administrators and educators interested in Host Site programs
·   Community leaders evaluating partnership opportunities
·   Individuals interested in volunteering or mentoring
·   Donors and supporters of BLMA
·   Members of the media and general public
 
The Website is not directed at children under 13. If you are under 13, you may not use this Website. If you are 13-17, use only with parental consent.

4. Acceptable Use
You agree to use the Website only for lawful purposes. You agree NOT to:

5. Form Protection & Cloudflare Captcha

5.1 What is Cloudflare Captcha?
All contact and application forms on this Website are protected by Cloudflare’s CAPTCHA service. This technology prevents unauthorized access and automated bot attacks.

5.2 How It Works
When you submit a form:
·   Cloudflare analyzes your behavior to verify you are human
·   No additional action required on your part (automatic verification)
·   Failed verification prevents form submission for security
·   No personal information is required for CAPTCHA

5.3 Privacy & Data Handling
Cloudflare CAPTCHA data is processed by Cloudflare, Inc. according to their Privacy Policy (https://www.cloudflare.com/privacy/). BLMA does not store or access Cloudflare CAPTCHA data.

6.1 What are Cookies?

These marks may not be used without BLMA’s permission in ways that cause confusion or disparage BLMA.

7.3 Limited License to Use
BLMA grants you a limited, non-exclusive, non-transferable, revocable license to use the Website for personal, non-commercial purposes. You may:
·   Share Website links on social media
·   Print or download single copies for personal use
·   Learn about BLMA and its programs
You may NOT:
·   Copy, reproduce, or distribute content for commercial purposes
·   Modify or create derivative works
·   Use data mining or automated tools

8. Form Submissions and User-Provided Information
When you submit forms, you represent and warrant that all information is accurate, truthful, and complete. By submitting:
·   You have authority to provide the information
·   Your submission does not violate any law
·   You do not infringe third-party intellectual property rights
 
Host Site Applications: Submission does not guarantee acceptance. BLMA reserves the right to accept or decline any application.
BLMA uses information per our Privacy Policy. We do not sell or share information with third parties for marketing.

9. Donations
Charitable donations are voluntary contributions to BLMA, a 501(c)(3) tax-exempt organization. Donations are generally tax-deductible. All donations are final and non-refundable unless BLMA determines a refund is appropriate.
Donations are processed securely through Givebutter. BLMA does not guarantee that funds will be applied to specific programs unless a written restricted gift agreement exists.

10. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND.
BLMA disclaims all warranties including:
·   Implied warranties of merchantability and fitness
·   Warranties that the Website will be uninterrupted or error-free
·   Warranties regarding accuracy or reliability of content
 
No advice from BLMA creates any warranty. BLMA makes no warranty that the Website meets your requirements or that results will be accurate.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLMA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
This includes liability for:
·   Loss of data or information
·   Loss of business opportunities
·   Personal injury or property damage
·   Unauthorized access to your data
·   Third-party conduct

BLMA’S TOTAL LIABILITY SHALL NOT EXCEED $100.00.

12. Indemnification
You agree to defend, indemnify, and hold harmless BLMA from any claims, damages, or costs (including attorneys’ fees) arising from:

·   Your violation of these Terms
·   Your violation of any law
·   False or inaccurate information you submit
·   Infringement of third-party rights

16. Governing Law and Jurisdiction
These Terms are governed by Tennessee law without regard to conflict of law provisions. Any legal action shall be brought exclusively in state or federal courts in Shelby County, Tennessee.

17. Severability
If any provision of these Terms is found invalid, it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full effect.

18. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement regarding Website use and supersede all prior agreements. No waiver is effective unless in writing and signed by BLMA.
